Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) are a contract between you (“Customer,” “you”) and Amrex Systems (“Convo,” “we,” “us”). By creating an account, purchasing a license, or embedding the Convo widget on a website, you agree to these Terms. If you’re accepting on behalf of a company, you confirm you have authority to bind that company.
2. The Service
Convo is an AI-powered chat widget you embed on your website. It answers visitor questions using content you connect (docs, help articles, PDFs), and hands conversations off to your team when a human is needed. It comes with a dashboard for transcripts, analytics, and configuration.
We may add, change, or remove features over time to keep the product working well. We’ll make reasonable efforts not to remove functionality you rely on without notice.
3. License & Ownership
Subject to these Terms and full payment, we grant you a license to use Convo in one of two forms, depending on which hosting option you choose at purchase (see Section 5):
- Hosted license: a non-exclusive, non-transferable right to embed and use the Convo widget, run on our infrastructure, on the website(s) associated with your account, for as long as your account remains in good standing.
- Self-hosted license: a non-exclusive, non-transferable right to deploy, run, and modify the Convo source code we provide you, on your own infrastructure, for the website(s) you purchased it for. This license does not transfer ownership of the code, and does not permit resale, sublicensing, or redistribution of the source code to third parties.
Regardless of which license applies:
- Convo’s software, branding, and underlying technology remain the property of Amrex Systems.
- You retain ownership of your content, including your docs, help articles, brand assets, and anything you upload to train the widget.
- Conversation data collected through your widget belongs to you, as described in our Privacy Policy.
- You may not resell, sublicense, or white-label Convo, whether hosted or self-hosted, as your own product without a separate written agreement.
4. Purchasing Convo
Convo is not sold through an automated checkout on this site. To purchase, you contact us by email, we confirm which hosting option you want, and we send an invoice for payment. A purchase is only complete once we’ve confirmed receipt of payment against that invoice.
- Reaching out and receiving an invoice does not itself create a license. The license described in Section 3 begins once payment is received.
- The details you provide when purchasing (the website the license applies to, and your chosen hosting option) become part of your agreement with us.
- Invoices, once issued, are payable as stated on the invoice unless we agree otherwise in writing.
5. Hosting Options & AI Provider Costs
At purchase, you choose one of two ways to run Convo:
- We host it. We run Convo on our servers under your account. You sign in to a dashboard, copy an embed script, and add it to your site. We handle uptime, updates, and infrastructure for that deployment.
- We give you the source code. We provide the Convo codebase for you to deploy and run yourself, under the self-hosted license in Section 3. You are responsible for hosting, maintaining, and securing your own deployment.
Convo generates its responses using Google’s Gemini API. This is a cost separate from your Convo license fee, and applies under either hosting option:
- If we host Convo for you, you are responsible for the associated monthly Gemini API plan, billed to you directly.
- If you self-host, you must configure and pay for your own Gemini API key directly with Google. We’ll assist with initial configuration on request, but ongoing Gemini costs and account management are yours.
We are not responsible for changes Google makes to Gemini’s pricing, availability, or terms of service.
6. Payment
Convo is sold as a one-time license fee of $399 per website, not a subscription, invoiced as described in Section 4. Payment is due in full, by the terms stated on your invoice, before your license activates. Aside from the Gemini API costs described in Section 5, there are no recurring charges to us for continued use of a licensed site.
- The license covers one website per purchase, unless we agree otherwise in writing.
- Free updates to the widget and dashboard are included for as long as you use the hosted option on that site. Self-hosted deployments receive the source code as of the time of purchase; ongoing updates for self-hosted deployments are not automatic unless separately agreed.
- Fees are non-refundable once an invoice is paid, except as required by law or as we agree in writing.
7. Acceptable Use
You agree not to use Convo to:
- Collect visitor data unlawfully, or without a privacy policy that discloses your own use of Convo
- Train the widget on or transmit content that is illegal, infringing, or that you don’t have rights to use
- Impersonate a person or entity, or misrepresent your affiliation with anyone
- Attempt to reverse-engineer, scrape, or circumvent the widget’s licensing or rate limits
- Use the service to harass, defraud, or deceive your visitors
We may suspend accounts that violate this section while we investigate.
8. AI-Generated Responses
Convo’s replies are generated by AI models based on the content you connect. Like any AI system, responses can be incomplete, out of date, or occasionally wrong. You’re responsible for reviewing how the widget represents your business and for making sure it’s not the sole source of information for anything safety-critical, legal, medical, or financial. We recommend keeping human handoff enabled for conversations where accuracy really matters.
9. Third-Party Services
Convo relies on third-party infrastructure and AI model providers, including Google Gemini, to function, as described in our Privacy Policy. Your use of Convo is also subject to the acceptable-use terms of those providers where relevant, including Google’s terms for the Gemini API if you supply your own key under a self-hosted license.
10. Disclaimer of Warranties
Convo is provided “as is” and “as available.” We don’t guarantee the service will be uninterrupted, error-free, or that AI responses will always be accurate. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the extent permitted by law, Amrex Systems won’t be liable for indirect, incidental, or consequential damages arising from your use of Convo, including lost profits or lost data. Our total liability for any claim relating to Convo is capped at the amount you paid for the license giving rise to the claim.
12. Termination
You may stop using Convo at any time by removing the embed script from your site. We may suspend or terminate accounts that violate these Terms, with notice where practical. Because Convo is a one-time purchase rather than a subscription, termination for your own convenience doesn’t entitle you to a refund of fees already paid, except as required by law.
13. Indemnification
You agree to indemnify and hold Amrex Systems harmless from claims arising out of your content, your use of Convo in violation of these Terms, or your violation of applicable law, including claims brought by your own website visitors.
14. Governing Law
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles, unless a mandatory local law gives you different rights.
15. Changes to These Terms
We may update these Terms as Convo evolves. We’ll update the “last updated” date above and, for material changes, notify Customers by email. Continued use after a change means you accept the updated Terms.
